Terms of Use Parlay Rewards

The Services

The services offered by Parlay Rewards (the “Services”) include interactive social gaming, predictive gameplay, rewards programs, contests, referrals, and other activities approved by Parlay Rewards from time to time through which Members may earn or use Parlay Points (“P-Points”) (“PP”) or Lightning Points (“L-Points”) (“LP”) or participate without earning rewards. The Services are offered through Parlay Rewards branded websites, including parlayrewards.com (the “Website”), playparlay.com (the “Games Mall”), and parlaysports.com, as well as Parlay-branded mobile applications, including the Parlay Sports application (the “Application”). The Website and Application are referred to collectively as the “Sites.”

These Terms of Use (“Terms”) constitute a legally binding agreement between you (“you,” “your,” “User,” “Player,” or “Member”) and Parlay Rewards Inc. (“Parlay Rewards,” “Parlay Sports,” “PlayParlay,” “we,” “us,” or “our”) and govern your access to and use of the Services.

Acceptance of Terms

PLEASE READ THESE TERMS CAREFULLY. Your access to and use of the Services is expressly conditioned upon your acceptance of these Terms, without modification, and all policies incorporated by reference. By clicking the box indicating “I accept the Terms of Use” during registration, you acknowledge and agree that: (i) you have read and understand these Terms; (ii) your acceptance constitutes a legally binding agreement equivalent to a handwritten signature; and (iii) you consent to be bound by these Terms. If you do not agree, you may not access or use the Services, and any attempted participation will be terminated immediately.

These Terms should be read together with the Parlay Rewards Privacy Policy and any additional rules, guidelines, or policies posted on the Sites, all of which are incorporated by reference. You consent to the collection, use, and disclosure of your personal information in accordance with the Privacy Policy.

Where the Application is made available through a third-party platform (such as Apple or Google), you acknowledge that such third party may enforce these Terms as a third-party beneficiary.

Nature of the Services; No Gambling

Parlay Rewards provides a social gaming and entertainment platform. The Services do not constitute gambling, wagering, or betting, and no real-money wagering is offered or permitted. Participation is for entertainment purposes only. P-Points and L-Points are promotional or entertainment-based rewards and are not legal tender, currency, or financial instruments.

Parlay Rewards may, at its discretion, award P-Points to Members for completing certain skill-based or predictive, non-chance Activities that may be redeemed for rewards within the Parlay Rewards Catalogue, subject to these Terms. Parlay Rewards may also award or allow the purchase of L-Points, which are non-monetary entertainment credits used in chance-based Games Mall gameplay, contests, tournaments, or experiences. L-Points have no cash value and cannot be redeemed for money. P-Points cannot be purchased or converted into L-Points, and L-Points cannot be converted into P-Points.

Outcomes of predictive or skill-based Activities are not guaranteed, and past performance does not ensure future results.

Regulatory Compliance and Lawful Use

You agree to use the Services only in compliance with all applicable federal, provincial, state, and local laws and regulations. Parlay Rewards does not provide legal advice, and you are solely responsible for ensuring that your participation in the Services, including any social gaming, predictive gaming, contests, sweepstakes, or any other Program Activities is permitted under the laws of your jurisdiction. Parlay Rewards is not liable for any consequences arising from your use of the Services in violation of any applicable law.

Certain Services, Activities, or features may be restricted, suspended, or unavailable in some jurisdictions based on applicable law or regulatory guidance. Parlay Rewards reserves the right to enforce these restrictions at its sole discretion, including limiting access to Activities or rewards based on jurisdiction, age, or other compliance criteria.

You agree to hold Parlay Rewards, its affiliates, and their officers, directors, employees, and agents harmless from any claims, losses, or liabilities arising from your use of the Services in violation of applicable laws or regulations.

Responsible Gaming and Social Gaming

The Services are intended for entertainment purposes only. Participation in social gaming, predictive gaming, or skill-based challenges should be undertaken responsibly. Members are solely responsible for ensuring their participation does not conflict with personal, legal, or financial obligations. Parlay Rewards is not responsible for any negative consequences arising from excessive, inappropriate, or illegal use of the Services.

Areas and Markets

An “Area” refers to a specific geographic region designated by Parlay Rewards from time to time. A “Market” consists of all Areas in which Parlay Rewards makes the Services, including the earning or use of P-Points and L-Points, available. Parlay Rewards reserves the sole right to determine, modify, or discontinue the Areas and Markets in which the Services, or any portion thereof, are offered.

Where applicable, P-Points and L-Points may only be earned or used within an eligible Market, as determined by Parlay Rewards in its sole discretion. Eligibility may be determined based on registration information, device or network location, or other reasonable methods. The availability of earning or using P-Points and L-Points may vary by Area or Market and is subject to applicable laws and regulatory requirements.

Markets may expand, contract, or otherwise change from time to time, including through the addition of new Areas, without notice.

Jurisdiction and Local Laws

The availability of the Services, or specific features of the Services, may vary by jurisdiction and may be restricted or prohibited in certain locations. You are solely responsible for determining whether your participation in the Services is lawful in your jurisdiction. These Terms are subject to applicable local laws, and certain provisions may not apply to you to the extent prohibited by law.

Export and Jurisdiction Restrictions

The Services are intended for use only in jurisdictions where access to skill-based gaming, predictive games, or social gaming is legal. You are solely responsible for compliance with applicable laws regarding access to the Services from your location. Parlay Rewards makes no representation that the Services are legal or available for use outside of the markets and Areas explicitly authorized by Parlay Rewards. Access from prohibited jurisdictions is strictly forbidden and may result in immediate termination of the Account.

Activity or Activities

An Activity is defined as the action of successfully completing any individual component within Parlay Rewards. Activities include, but are not limited to, downloading and registering to the Parlay Rewards Platform (either through the PlayParlay Games Mall or the Parlay Sports application); playing any games available within the PlayParlay Games Mall; guessing the outcome of Pivotal Moments; opting-in to and accepting Offers; participating in social Sportsbook games; chatting; redeeming rewards from the Parlay Rewards Catalogue; rating content; making referrals; submitting reviews; answering surveys and polls; entering contests; competing in tournaments; purchasing Subscriptions; purchasing L-Point Bundles; spinning the Spin Wheel; or any other activities as may be provided or made available by Parlay Rewards from time to time.

Eligibility to earn P-Points, L-Points, or other rewards from any Activity may vary and is determined solely by Parlay Rewards. All determinations regarding completion, participation, and reward eligibility for Activities are final and binding.

Age and Eligibility

To access or use the Services and participate in the Parlay Rewards Program (“Program”), you must meet the minimum age and eligibility requirements set out in these Terms of Use and all applicable laws.

Individuals who are at least sixteen (16) years of age may create a Parlay Rewards Account and participate in eligible Program features, including access to the Parlay Sports game and the earning and use of P-Points, subject to local legal requirements.

Access to the PlayParlay Games Mall, including all social and chance-based games and the use of P-Points and L-Points for gameplay, is strictly limited to individuals who are at least eighteen (18) years of age or have reached the age of majority in their jurisdiction, whichever is higher. Members who do not meet this requirement are prohibited from participating in Games Mall activities.

You represent and warrant that you meet all applicable age and eligibility requirements and that you are legally capable of entering into and complying with these Terms of Use. Parlay Rewards reserves the right to verify age and eligibility at any time and may require proof of age or identity. Providing false, misleading, or incomplete information regarding age or eligibility may result in suspension or termination of your Account and the forfeiture of any P-Points, L-Points, Virtual Items, or other Program benefits.

Parental Consent: Members under the age of majority in their jurisdiction must obtain parental or guardian consent prior to accessing the Services. Parlay Rewards may request proof of age or consent at any time and may suspend, restrict, or terminate any Account that does not meet the age requirements or provides false age information. Participation by individuals who do not meet the applicable age or eligibility requirements is strictly prohibited.

Member (“Member Account”) & User or Fan or Player

A Member is a participant who has completed the registration process by providing first and last name, login name, date of birth, gender, email address, mobile number, postal/zip code, and creating a password to establish a Member Account (“Account”). A Member may also be referred to as a User, Fan, or Player from time to time.

By creating an Account, you represent and warrant that you meet the eligibility requirements outlined in the Age and Eligibility section. Each person is limited to one (1) Account. To redeem certain rewards, offers, or promotions, you may be required to provide additional information. Any information you submit may be stored and will be subject to our Privacy Policy.

Acceptance of these Terms of Use also constitutes acceptance of the Parlay Rewards Privacy Policy.

Data Cost – Parlay Rewards is Not Responsible

You are solely responsible for any data charges, internet access fees, mobile carrier charges, roaming fees, or other costs incurred as a result of accessing or using the Services, whether through a mobile application, web-based platform, or any other access method now known or later developed.

Parlay Rewards does not assume any responsibility or liability for any data usage, charges, or costs incurred by you in connection with your use of the Services

Player Types

Parlay Rewards may classify users and Members into different Player Types based on their registration status, participation in the Services, and use of eligible Parlay Rewards programs and products. The four Player Types are Ghost, Rookie, Community, and Premier. Player Types are used to identify a user’s or Member’s status within the Parlay Rewards ecosystem and may determine eligibility for certain Services, features, games, benefits, offers, promotions, contests, or other experiences.

Parlay Rewards reserves the right, in its sole discretion, to establish, modify, replace, suspend, or discontinue Player Types and the eligibility requirements, access, features, or benefits associated with any Player Type, subject to applicable law. Qualification for a particular Player Type does not guarantee continued access to any particular Service, feature, benefit, reward, game, promotion, contest, or other offering.

Ghost Player
A Ghost Player is a user who has not created a Member Account. Ghost Players may access only those limited portions of the Services that Parlay Rewards makes available to unregistered users, including the ability to trial selected games within the PlayParlay Games Mall using Trial Points.

Each time a Ghost Player opens an eligible Trial game, Trial Points may be provided for use solely within that Trial game. Trial game availability and selection may be limited. Trial Points have no cash or monetary value, are not stored in a Member Account, cannot be redeemed, transferred, accumulated or retained, and are deleted when the applicable Trial game is closed or otherwise terminated.

Ghost Players cannot participate in Parlay Sports gameplay or earn P-Points or L-Points. Access by Ghost Players does not constitute registration in the Program or creation of a Member Account. Parlay Rewards may modify, restrict, suspend, or discontinue Ghost Player access or Trial gameplay at any time.

Rookie Player
A Rookie Player is a Member who has successfully registered and created a Member Account but does not currently meet the qualification requirements for Community or Premier status.

Subject to these Terms and applicable eligibility requirements, Rookie Players may participate in eligible Parlay Rewards Services and Activities, including Parlay Sports, the PlayParlay Games Mall, the Referral Program, Bonus Codes, Spins, Offers, contests and other features made available by Parlay Rewards. Rookie Players may earn and use P-Points and L-Points in accordance with these Terms and may redeem eligible P-Points through the Parlay Rewards Catalogue.

Rookie Players may purchase a Parlay Sports Subscription, an L-Point Bundle, or both, subject to the eligibility requirements and terms applicable to those products.

Community Player
A Community Player is a registered Member who has either: (i) an active Parlay Sports Subscription; or (ii) purchased an eligible L-Point Bundle, in each case subject to the applicable terms, eligibility requirements, duration, and conditions established by Parlay Rewards.

Community status may provide access to additional Services, features, games, benefits, offers, promotions, contests, or other experiences made available by Parlay Rewards from time to time. The specific benefits associated with a Parlay Sports Subscription and an L-Point Bundle are separate and are governed by the applicable sections of these Terms and any Additional Terms associated with the applicable product.

For clarity, purchasing a Parlay Sports Subscription does not constitute the purchase of an L-Point Bundle, and purchasing an L-Point Bundle does not constitute the purchase of a Parlay Sports Subscription.

Premier Player
A Premier Player is a registered Member who has both: (i) an active Parlay Sports Subscription; and (ii) has purchased an eligible L-Point Bundle, in each case subject to the applicable terms, eligibility requirements, duration, and conditions established by Parlay Rewards.

Premier status represents the combination of participation in both paid programs and may provide access to additional Services, features, games, benefits, offers, promotions, contests, or other experiences made available by Parlay Rewards from time to time.

Premier status does not combine, convert, or otherwise alter the underlying benefits associated with a Parlay Sports Subscription or an L-Point Bundle. Subscription benefits remain governed by the Subscription terms, and L-Point Bundle benefits remain governed by the L-Point Bundle terms.

Parlay Rewards reserves the right to determine eligibility for Player Types and to correct, change, suspend, or remove a Player Type where a Member no longer satisfies the applicable requirements, where an applicable Subscription or L-Point Bundle expires or otherwise ceases to qualify, where an Account is suspended or terminated, or where Parlay Rewards determines that the status was obtained through fraud, abuse, error, manipulation, or violation of these Terms. All decisions by Parlay Rewards regarding Player Type status, eligibility, points, rewards, benefits, and access are final and binding, subject to applicable law.

Points Types & Virtual Currency

Parlay Rewards uses different types of points and virtual credits within the Services, including Trial Points, Parlay Points (“P-Points”), and Lightning Points (“L-Points”). Each point type has a different purpose, method of acquisition, permitted use, and applicable restrictions. Points may only be used in the manner expressly permitted by Parlay Rewards and these Terms.

Except as expressly provided in these Terms, points are not legal tender, currency, deposits, securities, stored value, or property of a Member and do not establish any ownership, monetary, or other proprietary interest in favour of a Member. Points may not be sold, transferred, assigned, exchanged, or otherwise disposed of except as expressly permitted by Parlay Rewards.

Trial Points
Trial Points are temporary virtual credits that may be provided to Ghost Players to allow them to experience selected games within the PlayParlay Games Mall without creating a Member Account.

Trial Points may only be used in eligible Trial games made available by Parlay Rewards. Trial Points have no cash or monetary value, cannot be earned, purchased, redeemed, transferred, exchanged, accumulated, or converted into P-Points or L-Points, and are not stored in a Member Account. Any unused Trial Points are deleted or otherwise cease to be available when the applicable Trial game or Trial session ends.

Trial Points cannot be used to participate in Parlay Sports.

Parlay Rewards may determine the amount of Trial Points provided, the games in which Trial Points may be used, and the availability, duration, rules, and limitations applicable to Trial gameplay.

Parlay Points (“P-Points”)
P-Points are the Parlay Rewards points currency earned by eligible registered Members through skill-based, predictive, non-chance, promotional, engagement, and other eligible Activities designated by Parlay Rewards.

P-Points may be earned through Activities including correct predictions in Parlay Sports, Referrals, Bonus Codes, Sign-Up or Sign-In bonuses, Spins, promotions, challenges, and other eligible Activities made available by Parlay Rewards from time to time.

P-Points may be used for purposes designated by Parlay Rewards, which may include redeeming eligible rewards through the Rewards Catalogue, participating in eligible contests or other Activities, and playing eligible games within the PlayParlay Games Mall.

Where P-Points are used to play an eligible Games Mall game, the applicable P-Points may be deducted from the Member’s Points Account. If the Member is successful in the applicable game, the P-Points used to play may be returned and the Member may earn L-Points in accordance with the applicable game rules. If the Member is unsuccessful, the P-Points used to play are not returned.

For purposes of redemption through the Parlay Rewards platform, one (1) P-Point is currently equivalent to one cent ($0.01) in the applicable currency established by Parlay Rewards. This redemption equivalency does not give P-Points a cash value, does not create a right to receive cash, and does not constitute a representation that P-Points are legal tender, stored value, property, or otherwise redeemable for money.

P-Points cannot be purchased by Members and cannot be converted into L-Points, cash, or any other currency. P-Points may only be earned and used in accordance with these Terms and any applicable Additional Terms.

P-Points may expire after twenty-four (24) months of Account inactivity in accordance with the Active, Inactive & Account Closures provisions of these Terms.

Lightning Points (“L-Points”)
L-Points are non-monetary entertainment credits used within the PlayParlay Games Mall and other eligible L-Point Activities made available by Parlay Rewards.

Eligible Members may earn L-Points through Games Mall gameplay and other eligible Activities designated by Parlay Rewards. Members may also receive L-Points through the purchase of an eligible L-Point Bundle, as described in the L-Point Bundles provisions of these Terms.

L-Points may be used to play eligible Games Mall games and may also be used for eligible contests, tournaments, events, experiences, and other Activities designated by Parlay Rewards from time to time.

Where L-Points are used to participate in an eligible Games Mall game or Activity, the applicable L-Points may be deducted from the Member’s Points Account. Depending upon the applicable game or Activity and its rules, a successful outcome may result in the Member receiving additional L-Points. If the Member is unsuccessful, the L-Points used to play are not returned.

L-Points have no cash or monetary value, cannot be redeemed for cash or rewards through the Rewards Catalogue, and cannot be converted into P-Points or any other currency. L-Points may not be sold, transferred, assigned, exchanged, or otherwise disposed of except as expressly permitted by Parlay Rewards.

L-Points expire thirty (30) days after they are received by a Member, whether earned through gameplay or other eligible Activities or received through an L-Point Bundle. Expired L-Points are automatically removed from the Member’s Points Account and cannot be reinstated, redeemed, transferred, or exchanged, except where Parlay Rewards determines otherwise in its sole discretion or as required by applicable law.

General Points Terms
All Trial Points, P-Points, L-Points, and other virtual items made available through the Services are licensed to Members solely for use within the Parlay Rewards ecosystem in accordance with these Terms. Members acquire no ownership or proprietary interest in any points or virtual items.

Parlay Rewards reserves the right, subject to applicable law, to establish, modify, limit, suspend, discontinue, replace, correct, or otherwise administer any points program, including the methods by which points may be earned or received, the number of points awarded or required, eligible uses, redemption requirements, expiration periods, limits, availability, and other conditions applicable to points.

Parlay Rewards may correct a Member’s points balance and may withhold, cancel, reverse, suspend, or remove points that were awarded, received, obtained, or used as a result of error, fraud, abuse, manipulation, unauthorized activity, violation of these Terms, or other circumstances reasonably determined by Parlay Rewards to require correction or adjustment.

Points may be subject to additional rules, eligibility requirements, expiration periods, restrictions, or conditions disclosed in connection with a particular game, promotion, contest, reward, L-Point Bundle, or other Activity. In the event of a conflict between these Terms and applicable Additional Terms, the Additional Terms will govern with respect to the applicable Activity, except to the extent prohibited by applicable law.

All decisions by Parlay Rewards regarding the earning, receipt, use, redemption, expiration, adjustment, cancellation, forfeiture, or administration of points are final and binding, subject to applicable law.

Virtual Items: All in-game content, badges, digital assets, or other Virtual Items within the Services (“Virtual Items”) are licensed, not sold, to Members for personal, non-commercial use. Parlay Rewards retains all rights, title, and interest in all Virtual Items, including all intellectual property rights.

Virtual Items may not be sold, traded, transferred, or assigned outside of the Services, except as expressly permitted by Parlay Rewards. Any attempt to circumvent these restrictions may result in suspension, termination, or forfeiture of points or account privileges. Parlay Rewards may modify, remove, or revoke Virtual Items at any time, for any reason, without notice or liability, subject to applicable law. All determinations by Parlay Rewards regarding the eligibility, awarding, use, modification, removal, or revocation of Virtual Items are final and binding, subject to applicable law.

Members’ Points Account

A Points Account reflects the Member’s balance of P-Points and L-Points earned, received, or otherwise credited to the Member in accordance with these Terms. Trial Points are not stored in the Points Account. Members are responsible for monitoring the accuracy of their Points Account. Parlay Rewards may, at its sole discretion, adjust Points Accounts to correct errors, resolve disputes, or enforce these Terms of Use.

All determinations regarding completion of Activities, eligibility for points, and allocation of rewards or Virtual Items are final and binding. Members have no property rights or other legal interest in P-Points, L-Points, Trial Points, or Virtual Items beyond the limited license to use them as described herein.

Bonus Code

A Bonus Code is a valid code with an associated P-Point value that can be used during the registration process where, once the registration process is completed, the associated P-Point quantity is deposited into the new Member’s Points Account.

No Guarantee of Rewards or Outcomes

Participation in the Services, including all Activities, does not guarantee any particular outcome, reward, or accumulation of P-Points or L-Points. Parlay Rewards makes no representations or warranties regarding the availability, value, timing, or probability of any rewards. All determinations regarding the awarding, cancellation, or redemption of rewards are made at the sole discretion of Parlay Rewards, and such decisions are final and binding. Members acknowledge and accept that they may not earn P-Points, L-Points, or other rewards, regardless of their level of participation.

Account required to access Services

Except for limited Services expressly made available by Parlay Rewards to Ghost Players or other unregistered users, access to and use of the Services requires a Member Account. You are solely responsible and liable for any use and misuse of your login name and password and for all Activities that occur under your login name and password. You may not transfer or otherwise assign your Account to any third party. For security reasons, you must keep your login name and password confidential and not disclose them to any person or permit any other person to use them. Parlay Rewards will never ask for your password.  Parlay Rewards strongly recommends that you choose a password that is unique to you and not easily guessed by others. You should change your password on a regular basis.

You must immediately notify Parlay Rewards of any unauthorized use of your login name or password, or if you know or suspect that your login name or password has been lost or stolen, has become known to any other person, or has been otherwise compromised. All login names and passwords remain the property of Parlay Rewards. Parlay Rewards is not under any obligation to verify the actual identity or authority of the user of any login name or password.

Privacy, Data Protection, and Consent

By using the Services, you acknowledge that Parlay Rewards may collect, use, disclose, retain, and otherwise process your personal information in accordance with the Parlay Rewards Privacy Policy and applicable privacy and data protection laws. Where consent is required by applicable law, Parlay Rewards will obtain such consent in the manner required by law. You agree that Parlay Rewards shall not be liable for consequences arising from your provision of false, inaccurate, or incomplete personal information or from your failure to obtain any consent from a third party that you are legally required to obtain.

Data Sharing and Analytics: Parlay Rewards may collect and analyze data related to your use of the Services, including gameplay patterns, interactions with other Members, and engagement with content, for purposes such as improving the Services, personalizing user experiences, performing analytics, and detecting fraud or abuse. You consent to the aggregation and anonymization of such data for internal analysis or reporting purposes. Parlay Rewards may also share anonymized or aggregated data with affiliates, partners, and third-party service providers for legitimate business purposes, including analytics, marketing, and research. No personally identifiable information will be shared with third parties except as described in the Privacy Policy or as required by law. You agree that Parlay Rewards shall not be liable for any consequences arising from the aggregation, anonymization, or sharing of data in accordance with this Section and the Privacy Policy.

Active, Inactive, and Account Closures

An Active Account is a Member Account in which the Member has engaged in one or more eligible Activities within the preceding twelve (12) months. Eligible Activities may include, without limitation, earning, receiving, using or redeeming P-Points or L-Points; participating in Parlay Sports or the PlayParlay Games Mall; completing a Referral; participating in a survey, Offer, contest, tournament, Spin, or other eligible Activity; using eligible social, chat, learning or engagement features; maintaining or purchasing a Subscription; purchasing an L-Point Bundle; or otherwise engaging with the Services in a manner recognized by Parlay Rewards as Account activity.

Parlay Rewards reserves the right to determine what constitutes qualifying Account activity for purposes of determining whether an Account is active or inactive.

Inactive Accounts: If a Member does not engage in a qualifying Activity for twelve (12) consecutive months, the Account may be deemed inactive. Parlay Rewards may apply an inactive Account management charge of two hundred and fifty (250) P-Points per month, up to the total available P-Point balance in the Account. L-Points are not subject to inactivity charges. An inactivity charge will not create a negative P-Point balance.

Inactivity charges may begin on or after the first day of the month following the Account becoming inactive. Completing a qualifying Activity will restore the Account to active status and halt future inactivity charges unless and until the Account subsequently becomes inactive again.

Parlay Rewards will provide the Member with at least three (3) months’ notice before inactivity charges commence, using the email address or other applicable contact information associated with the Member’s Account. Inactivity charges that have been properly applied are non-refundable, except as required by applicable law.

P-Point Expiration and Account Closure: P-Points do not expire solely based upon the date on which they were earned. If a Member’s Account remains inactive for twenty-four (24) consecutive months, Parlay Rewards may expire and remove any remaining P-Points from the Account and may close the Account and revoke the Member’s access to the Services.

Parlay Rewards will provide the Member with at least three (3) months’ notice before an Account is closed due solely to twenty-four (24) consecutive months of inactivity. A Member may prevent inactivity-based expiration of P-Points and Account closure by completing a qualifying Activity before the applicable inactivity period expires.

Expired or removed P-Points have no cash value and are not subject to compensation. Parlay Rewards may, in its sole discretion, reinstate P-Points that have expired or been removed due to inactivity, subject to applicable law.

L-Point Expiration: L-Points expire thirty (30) days after they are received by a Member, whether earned through gameplay or other eligible Activities or received through an L-Point Bundle. L-Point expiration operates independently of whether an Account is active or inactive. Expired L-Points are removed from the Member’s Points Account and cannot be reinstated, redeemed, transferred, or exchanged, except where Parlay Rewards determines otherwise in its sole discretion or as required by applicable law.

Accounts are non-transferable under any circumstances, including upon death, personal bankruptcy, or assignment by operation of law. Parlay Rewards reserves the right, subject to applicable law, to modify its policies regarding Account activity, inactivity, points expiration, inactivity charges, or Account closure from time to time.

Nothing in this section limits Parlay Rewards’ rights under these Terms to suspend, restrict, or terminate an Account, remove or adjust points, or revoke access to the Services for fraud, abuse, breach of these Terms, unlawful activity, or any other grounds expressly permitted under these Terms.

All determinations by Parlay Rewards regarding Account activity or inactivity, inactivity charges, points expiration, Account closure, or reinstatement are final and binding, subject to applicable law.

Use of Services

Provided you comply at all times with these Terms of Use, we grant you, during the duration hereof, a limited, revocable, non-exclusive, non-transferable, and non-sublicensable right to use the Services solely for your personal, non-commercial use. The foregoing license is personal to you and may not be transferred or assigned. The Services, including P-Points, L-Points, Virtual Items, and any other rewards, may not be used for commercial purposes, resale, or exploitation outside of the Services.

By using the Services, you represent and warrant that: (i) where you create or maintain an Account, all Account registration information you submit to Parlay Rewards is truthful, accurate, and complete, and you will maintain the accuracy and completeness of such information throughout the duration of your use of the Services; (ii) you may only create and hold one (1) Account, and you may not create multiple accounts for yourself or on behalf of others; (iii) you are using the Services personally and not on behalf of any third party; (iv) you are a resident of the country where you register (identified by your postal/zip code); (v) you have reached the age of sixteen (16) to create an Account and, where applicable (e.g., access to the PlayParlay Games Mall), you meet the minimum age requirement of eighteen (18) or the age of majority in your jurisdiction; and (vi) your use of the Services does not violate any applicable law. (Note: it is solely your responsibility to determine whether your use of the Services complies with applicable laws, and you must comply with all such applicable laws.)

Parlay Rewards reserves the right, subject to applicable law, to modify, suspend, or terminate the Services (or any part thereof), either temporarily or permanently, at any time, with or without prior notice or liability to you. Any P-Points, L-Points, Virtual Items, or other rewards may be forfeited as a result. Parlay Rewards reserves the right to modify or replace any terms and conditions contained in these Terms of Use or any policies, practices, or guidelines related to the Services. You agree that Parlay Rewards shall not be liable to you for any modification, suspension, or cessation of the Services. You acknowledge and agree that Parlay Rewards has no obligation, expressed or implied, to provide or continue to provide the Services, or any part thereof, now or in the future.

Dispute Resolution

You agree to first attempt to resolve any dispute, claim, or controversy arising out of or relating to these Terms of Use, the Services, your Account, your participation in the Parlay Rewards Program, or any P-Points, L-Points, rewards, benefits, Virtual Items, Subscriptions, L-Point Bundles, contests, promotions, or other Activities (each, a “Dispute”) informally by submitting your request through the Parlay Rewards support process at support@parlayrewards.com and identifying the matter as a Dispute Resolution request.

You must provide sufficient information to allow Parlay Rewards to reasonably investigate the Dispute, including, where applicable, information regarding the relevant Account, transaction, Activity, points, reward, game, contest, Subscription, L-Point Bundle, or other matter giving rise to the Dispute.

Parlay Rewards will make reasonable efforts to investigate and respond to the Dispute within ninety (90) days after receiving sufficient information to review the matter. Parlay Rewards may request additional information reasonably required to investigate or resolve the Dispute.

Parlay Rewards’ determinations regarding the administration of the Services, including Account status, eligibility, gameplay results, points calculations, points adjustments, rewards, Player Type status, and application of Program rules, are final and binding, subject to these Terms and applicable law.

Nothing in this Dispute Resolution section limits, excludes, waives, or restricts any right or remedy that cannot lawfully be limited, excluded, waived, or restricted under applicable law. To the maximum extent permitted by applicable law, any rights or remedies not expressly granted under these Terms are excluded.

Parlay Rewards Program Overview

Parlay Rewards is a free-to-play sports and social gaming entertainment platform that enables eligible Members to participate in predictive sports, social games, contests, challenges, promotions, and other entertainment Activities and to earn and use rewards and entertainment credits within the Parlay Rewards ecosystem.

The Parlay Rewards ecosystem includes two primary consumer platforms: Parlay Sports, a live predictive sports experience in which eligible Members can make predictions relating to events and outcomes during live sporting events, and PlayParlay, which includes the Games Mall and other social gaming and entertainment experiences. The Services are connected through the Parlay Rewards Account, Player Type system, points system, rewards program, and other features made available by Parlay Rewards from time to time.

Eligible Members may earn P-Points through skill-based, predictive, promotional, engagement, and other eligible Activities. P-Points may be used for eligible Activities within the Services and may be redeemed for eligible rewards made available through the Parlay Rewards Catalogue, subject to these Terms and any Additional Terms applicable.

Eligible Members may also earn or receive L-Points, which are non-monetary entertainment credits used within PlayParlay and other eligible L-Point Activities. L-Points may be earned through Games Mall gameplay and other eligible Activities and may also be received through the purchase of an eligible L-Point Bundle. L-Points have no cash value, cannot be redeemed through the Parlay Rewards Catalogue, and cannot be converted into P-Points or currency.

Parlay Rewards may offer an optional paid Subscription that provides eligible Members with specified benefits relating to Parlay Sports. Parlay Rewards may also offer optional L-Point Bundles that provide L-Points and specified benefits relating to PlayParlay and the Games Mall. The Subscription and L-Point Bundle programs are separate offerings and may be purchased independently. Subscription benefits do not provide Games Mall gaming benefits, and L-Point Bundle benefits do not provide Parlay Sports Subscription benefits.

Members may also be assigned a Player Type based on their registration status and participation in eligible Parlay Rewards programs. Player Type status may affect access to certain features, games, offers, promotions, contests, experiences, or other benefits. Player Type benefits are separate from the specific benefits provided through a Subscription or L-Point Bundle.

Participation in the Parlay Rewards Program does not involve wagering or betting real money. P-Points, L-Points, Trial Points, Virtual Items, rewards, and other Program benefits are not legal tender, currency, deposits, securities, or cash equivalents and may be earned, used, redeemed, restricted, modified, expired, suspended, or removed only as expressly permitted under these Terms and any applicable Additional Terms.

No purchase is required to create an eligible Account or participate in the free portions of the Services. Purchases of Subscriptions, L-Point Bundles, or other paid products or services that Parlay Rewards may make available from time to time are optional and do not guarantee any particular gameplay outcome, reward, result, or success.

Parlay Rewards may add, remove, modify, suspend, restrict, replace, or discontinue any Program feature, Activity, game, reward, benefit, Player Type, Subscription, L-Point Bundle, or other aspect of the Services from time to time, subject to these Terms and applicable law.

Parlay Rewards Services and Activities

Parlay Rewards offers a variety of Services and Activities through which eligible Members may participate in sports, games, contests, challenges, promotions, rewards, and other entertainment and engagement experiences. Certain Services and Activities may provide opportunities to earn, receive, use, or redeem P-Points or L-Points, while others may not involve points.

Eligibility, availability, rules, point values, rewards, benefits, restrictions, and other conditions applicable to any Service or Activity may be established by Parlay Rewards and may vary by Service, Activity, Member, Player Type, age, jurisdiction, or other applicable eligibility criteria. Additional Terms may apply to particular Services or Activities and, where applicable, form part of these Terms of Use.

Parlay Rewards reserves the right, subject to applicable law, to add, modify, suspend, restrict, replace, or discontinue any Service or Activity, or any feature, benefit, reward, or point-earning opportunity associated with a Service or Activity, at any time. Unless expressly stated otherwise, participation in an Activity does not guarantee that a Member will earn or receive P-Points, L-Points, rewards, benefits, or any other particular outcome.

Eligible Services and Activities include, but are not limited to, those described below.

PlayParlay Games Mall

The PlayParlay Games Mall is a social gaming and entertainment environment offered as part of the Parlay Rewards Services. The Games Mall may include Bingo, Slots, Casino-style, Arcade, and other social games, contests, tournaments, or entertainment experiences made available by Parlay Rewards from time to time. The availability of particular games, game categories, features, or experiences may vary and may be modified, suspended, restricted, replaced, or discontinued by Parlay Rewards, subject to applicable law.

The PlayParlay Games Mall is provided for entertainment purposes only. Parlay Rewards does not offer real-money gambling, betting, wagering, or cash-out gaming through the Games Mall. P-Points, L-Points, Trial Points, Virtual Items, and other virtual benefits used within the Games Mall are not legal tender or currency and cannot be redeemed for cash or transferred outside the Services except as expressly permitted under these Terms.

Age and Eligibility: Access to registered-member Games Mall gameplay, including the earning or use of P-Points or L-Points through Games Mall Activities, is restricted to Members who are at least eighteen (18) years of age or have reached the age of majority in their jurisdiction, whichever is higher, and who otherwise satisfy all applicable eligibility requirements. By participating in the Games Mall, you represent and warrant that you meet all applicable age, jurisdictional, and eligibility requirements.

Parlay Rewards may verify age, identity, location, or eligibility at any time and may restrict or deny access where eligibility requirements are not satisfied or cannot reasonably be verified. Providing false, inaccurate, or misleading eligibility information may result in suspension or termination of an Account, removal of points or benefits, or other action permitted under these Terms.

Ghost Player Trial Access: Parlay Rewards may permit eligible Ghost Players to access selected Games Mall trial experiences using Trial Points. Trial access may be limited in duration, content, functionality, or availability. Trial Points have no cash value, are not stored in a Points Account, cannot be redeemed or transferred, and do not entitle the Ghost Player to P-Points, L-Points, rewards, or other registered-Member benefits.

Use of P-Points and L-Points: Eligible Members may use P-Points or L-Points in Games Mall Activities where the applicable game or Activity permits such use.

Where a Member uses P-Points to participate in an eligible Games Mall Activity, the P-Points used will be deducted from the Member’s Points Account. If the Member achieves a successful outcome, the original P-Points used may be returned and the Member may also be eligible to receive L-Points or other benefits, as specified by the applicable game rules. If the Member does not achieve a successful outcome, the P-Points used will not be returned.

Where a Member uses L-Points to participate in an eligible Games Mall Activity, the L-Points used will be deducted from the Member’s Points Account. Depending upon the applicable game or Activity and its rules, a successful outcome may result in the Member receiving additional L-Points or other eligible benefits. If the Member does not achieve a successful outcome, the L-Points used will not be returned.

L-Points are non-monetary entertainment credits. They have no cash value, cannot be redeemed through the Parlay Rewards Catalogue, cannot be converted into P-Points or currency, and cannot be sold, transferred, or exchanged except as expressly permitted under these Terms.

L-Points may be earned through eligible Games Mall gameplay and other Activities and may also be received through the purchase of an eligible L-Point Bundle. Purchase of an L-Point Bundle is optional and does not affect or improve the outcome, odds, probability, or result of any Games Mall game or Activity.

L-Points expire thirty (30) days after they are received, whether earned through gameplay or another eligible Activity or received through an L-Point Bundle. Expired L-Points are removed from the Member’s Points Account and have no cash or redemption value.

Game Rules and Additional Terms: Each Games Mall game or Activity may be subject to specific game rules, eligibility requirements, point requirements, award structures, limits, restrictions, instructions, or other Additional Terms. Members are responsible for reviewing and complying with the applicable rules before participating.

Parlay Rewards may determine the number and type of P-Points, L-Points, or other benefits required, awarded, returned, withheld, or removed in connection with a Games Mall Activity. Parlay Rewards may also establish minimum or maximum participation amounts, gameplay limits, eligibility conditions, or other restrictions for individual games or Activities.

Game outcomes may depend upon the rules and mechanics of the applicable game. Participation in any Games Mall Activity does not guarantee that a Member will receive P-Points, L-Points, rewards, benefits, or any other particular outcome.

Account Adjustments and Irregular Activity: Members are responsible for reviewing their Points Account and notifying Parlay Rewards within sixty (60) days after the applicable Activity if they reasonably believe that P-Points or L-Points were incorrectly credited, deducted, returned, or otherwise recorded.

Parlay Rewards may investigate and correct any points balance, game result, award, transaction, or other Account record that Parlay Rewards reasonably determines resulted from error, system malfunction, incorrect or incomplete data, fraud, abuse, manipulation, unauthorized activity, exploitation of a game or system, violation of applicable game rules, or breach of these Terms.

Parlay Rewards may disqualify a Member from an Activity, reverse or modify an affected game result, withhold or remove points or benefits, suspend access to a game or the Games Mall, or take any other action permitted under these Terms where Parlay Rewards determines that such action is reasonably necessary to protect the integrity of the Services or enforce these Terms.

All determinations by Parlay Rewards regarding Games Mall eligibility, game administration, point calculations, awards, Account adjustments, game rules, or the application of these Terms are final and binding, subject to applicable law and the Dispute Resolution provisions of these Terms.

Parlay Sports Game

Parlay Sports is a free-to-play live predictive sports game offered as part of the Parlay Rewards Services. Eligible Members may follow selected live sporting events and participate in predictive questions relating to events or outcomes occurring during those games. Correct predictions may earn P-Points in accordance with these Terms and any applicable game rules, promotions, Subscription benefits, or Additional Terms.

Parlay Sports does not involve real-money wagering, betting, or staking. No payment is required to participate in the standard Parlay Sports game or to earn P-Points through eligible Parlay Sports gameplay. P-Points earned through Parlay Sports have the characteristics, permitted uses, restrictions, and expiration rules described elsewhere in these Terms.

Age and Eligibility: Participation in Parlay Sports is restricted to registered Members who are at least sixteen (16) years of age and otherwise satisfy all applicable eligibility requirements. By participating in Parlay Sports, you represent and warrant that you satisfy all applicable age, jurisdictional, and eligibility requirements. Parlay Rewards may verify age, identity, location, or eligibility at any time and may restrict or deny participation where eligibility requirements are not satisfied or cannot reasonably be verified.

Pivotal Moments and Predictive Questions: A Pivotal Moment is a real-time event or game situation associated with a live sporting event for which an outcome has not yet been determined. Parlay Sports may present eligible Members with time-sensitive predictive questions associated with Pivotal Moments and other eligible game situations.

A Pivotal Moment may include a summary of the relevant Game Situation, a “Make Your Call!” question, available answer selections, a countdown timer, and the P-Point value or values associated with the available selections. The type, timing, number, content, answer selections, and P-Point values of predictive questions may vary by game, sport, situation, Member eligibility, Subscription status, or other applicable criteria.

To participate in a Pivotal Moment, a Member must submit an available selection before the applicable timer expires. Members may have up to thirty (30) seconds to respond. The countdown begins when the Pivotal Moment is issued, not when the Member opens or views it, and therefore the amount of time remaining when the Member views the question may be less than thirty (30) seconds.

If the timer expires before a Member submits a selection, that Pivotal Moment is skipped for that Member and no P-Points are awarded for it. There is no points penalty for failing to answer or for submitting an incorrect prediction. 

Following Games and Availability: Members generally must follow an eligible game in order to receive and participate in Pivotal Moments associated with that game. The number of games a Member may follow, the number of Pivotal Moments or other predictive questions offered, and the availability of particular games, sports, leagues, or features may be limited by Parlay Rewards and may vary over time.

Parlay Rewards does not guarantee that any particular number of Pivotal Moments or other predictive questions will be offered during a game. The current Parlay Sports experience may include multiple Pivotal Moments during a game, and additional opportunities may be made available through overtime, Subscription benefits, special features, promotions, or other Activities.

Notifications may be used to alert Members to available Pivotal Moments and other gameplay events. Notifications are provided as a convenience and are not guaranteed. Members may be able to participate through the Services without enabling certain notifications, but disabling, delaying, or failing to receive notifications may cause a Member to miss gameplay opportunities.
 
P-Point Awards: A Member who correctly predicts the outcome of an eligible Pivotal Moment may receive the applicable P-Point award. The number of P-Points awarded may vary according to the Pivotal Moment, the Member’s selected answer, applicable Subscription benefits, promotions, or other platform features. Different answer selections may carry different P-Point values.
 
An incorrect prediction does not result in a deduction of P-Points or any other gameplay penalty. L-Points are not earned through Parlay Sports predictive gameplay.

Participation in additional Pivotal Moments or games creates additional opportunities to earn P-Points but does not guarantee that any P-Points will be earned. P-Points are awarded based upon applicable game results and the rules associated with the relevant predictive question.

Game Data, Results, and Resolution: Parlay Sports relies upon live and official sports data, third-party data feeds, technology systems, and other information to issue and resolve predictive questions. Such information may occasionally be delayed, incomplete, corrected, unavailable, or inaccurate.

Parlay Rewards will determine the result of each predictive question using the applicable game rules and the sports data or other information that Parlay Rewards considers authoritative for that Activity. Parlay Rewards may correct, delay, suspend, cancel, or otherwise administer a predictive question where reasonably necessary because of data errors, technical issues, game interruptions, postponements, cancellations, official scoring changes, or other circumstances affecting the integrity or resolution of the question.

Where a predictive question cannot be resolved normally, Parlay Rewards may apply the applicable unresolved-question, game-end, postponement, cancellation, or other resolution rules established for that sport or Activity. Members will not be entitled to additional compensation solely because a Pivotal Moment was not issued, was delayed, could not be participated in, or could not be resolved in the ordinary manner, except for any P-Point award or other treatment expressly provided under the applicable resolution rules.

Account Review and Adjustments: Members are responsible for reviewing their Points Account and notifying Parlay Rewards within sixty (60) days after the applicable Activity if they reasonably believe that a Parlay Sports result or P-Point award has been incorrectly recorded.

Parlay Rewards may investigate and correct any predictive-question result, P-Point award, Account balance, or other gameplay record that Parlay Rewards reasonably determines resulted from error, incorrect or incomplete data, system malfunction, fraud, abuse, manipulation, unauthorized activity, exploitation of the Services, violation of applicable game rules, or breach of these Terms.

Parlay Rewards may withhold, reverse, remove, or correct P-Points; invalidate or modify an affected result; restrict or suspend participation; or take any other action permitted under these Terms where reasonably necessary to protect the integrity of Parlay Sports or enforce these Terms.

All determinations by Parlay Rewards regarding Parlay Sports eligibility, predictive-question administration, game results, P-Point calculations or awards, Account adjustments, or application of game rules are final and binding, subject to applicable law and the Dispute Resolution provisions of these Terms.

Referral Program

Parlay Rewards may offer a referral program (the “Referral Program”) under which eligible Members may have the opportunity to earn P-Points or other specified promotional benefits by referring eligible individuals to register for Parlay Rewards.

A “Referral” or “Referral Activity” occurs when an eligible Member introduces another individual to Parlay Rewards through a referral method recognized by Parlay Rewards and that individual completes the registration or other qualifying requirements specified for the applicable Referral Activity.

To participate in a Referral Program, both the referring Member and the referred individual must satisfy all applicable eligibility requirements. A referred individual must be a genuine new registrant and must complete the applicable registration, Account creation, verification, or other qualifying requirements established by Parlay Rewards before a Referral will be considered successfully completed.

Where the applicable Referral Activity provides for a P-Point award, an eligible referring Member may receive the number of P-Points specified by Parlay Rewards after the Referral has been successfully completed and verified. Unless otherwise specified by Parlay Rewards, a Member may earn a maximum of fifty thousand (50,000) P-Points through the Referral Program in any twelve (12) month period.

Referral awards, eligibility requirements, qualifying actions, limits, promotional periods, and other conditions may vary between Referral Activities and may be described in Additional Terms made available in connection with the applicable Referral Program. Participation in a Referral Activity does not guarantee that a Member will receive P-Points or any other benefit unless all applicable requirements have been satisfied.

Referral Restrictions and Abuse: Referrals must be genuine and made for the purpose of introducing eligible new Members to Parlay Rewards. Members may not obtain or attempt to obtain Referral benefits through self-referrals, duplicate or fictitious Accounts, false or misleading information, automated methods, manipulation, collusion, unauthorized commercial solicitation, or any other fraudulent, abusive, deceptive, or improper activity.

Parlay Rewards may investigate any Referral Activity and may withhold, delay, deny, reverse, or remove any Referral award where Parlay Rewards reasonably determines that the applicable requirements were not satisfied or that the Referral involved error, fraud, abuse, manipulation, duplicate Accounts, unauthorized activity, or a violation of these Terms or applicable Referral rules. Parlay Rewards may also restrict or suspend a Member’s participation in the Referral Program or take any other action permitted under these Terms.

Parlay Rewards reserves the right, subject to applicable law, to establish, modify, limit, suspend, replace, or discontinue the Referral Program or any Referral Activity, including applicable eligibility requirements, Referral methods, P-Point awards, earning limits, promotional periods, or other conditions.

Members are responsible for reviewing their Points Account and notifying Parlay Rewards within sixty (60) days after the applicable Referral Activity if they reasonably believe that an earned Referral award has not been correctly credited.

All determinations by Parlay Rewards regarding Referral eligibility, successful completion of a Referral, Referral awards, earning limits, Account adjustments, or application of Referral Program rules are final and binding, subject to applicable law and the Dispute Resolution provisions of these Terms.

Offer Marketplace

Parlay Rewards may make offers, discounts, promotions, benefits, or other opportunities (each, an “Offer”) available to eligible Members through the Parlay Rewards Services (the “Offer Marketplace”). Offers may be provided by Parlay Rewards or by participating third-party brands, merchants, service providers, or other promotional partners.

There is no obligation to view, accept, or use an Offer. Unless otherwise expressly stated in the applicable Offer terms, no P-Points, L-Points, or payment is required to accept an Offer.

Offer Eligibility and Acceptance: Each Offer may be subject to specific eligibility requirements, availability periods, quantities, geographic restrictions, age restrictions, redemption requirements, exclusions, limitations, or other Additional Terms. Members are responsible for reviewing the applicable Offer terms before accepting or using an Offer.

Where an Offer requires a Member to opt in or otherwise accept the Offer, the Member must complete the applicable acceptance process before the Offer will be made available for use. An accepted Offer may be placed in the Member’s Offers Wallet or otherwise associated with the Member’s Account.

Unless otherwise specified in the applicable Offer terms, an accepted but unused Offer will remain available for a maximum of thirty (30) days after acceptance, after which it may expire and be removed. An Offer that has been redeemed or otherwise used may be removed from the Member’s available Offers and may be reflected in the Member’s Offer history.

Offers are personal to the eligible Member and are non-transferable unless expressly stated otherwise. Offers may not be sold, exchanged, duplicated, reproduced, assigned, or otherwise transferred or exploited except as expressly permitted by Parlay Rewards and the applicable Offer terms.

Third-Party Offers: Certain Offers may be provided, fulfilled, redeemed, or administered by third parties. Such Offers may be subject to additional terms, conditions, privacy practices, eligibility requirements, or redemption procedures established by the applicable third party. Parlay Rewards is not responsible for the acts or omissions of a third-party Offer provider except to the extent required by applicable law.

Acceptance or use of a third-party Offer may require a Member to interact directly with the applicable third party or provide information to that third party. Any information provided directly to a third party will be subject to that third party’s applicable terms and privacy practices.

Offer Availability and Administration: Parlay Rewards does not guarantee that any particular Offer, type of Offer, merchant, brand, benefit, or promotional opportunity will be available to any Member or for any particular period.

Parlay Rewards may, subject to applicable law and any applicable Offer terms, establish, modify, limit, suspend, withdraw, replace, or discontinue the Offer Marketplace or any Offer, including its eligibility requirements, availability, quantity, duration, or redemption conditions.

Parlay Rewards may refuse, cancel, reverse, or remove an Offer or its associated benefit where Parlay Rewards reasonably determines that the Offer was obtained or used through error, fraud, abuse, manipulation, unauthorized activity, duplication, transfer, misrepresentation, violation of the applicable Offer terms, or breach of these Terms.

Members are responsible for reviewing their Offers Wallet or Account and notifying Parlay Rewards within five (5) days after accepting an Offer if they reasonably believe that an accepted Offer has not been correctly recorded or made available.

All determinations by Parlay Rewards regarding Offer eligibility, availability, acceptance, expiration, redemption, Account adjustments, or application of Offer rules are final and binding, subject to applicable law and the Dispute Resolution provisions of these Terms.

Social Interactions, Chat and Community Behavior

The Services may include social and interactive features, including chat, messaging, leaderboards, forums, community features, or other functionality that enables Members to communicate, interact, compete, or share content with other Members (collectively, “Social Features”). Availability and functionality of Social Features may vary and may be modified, restricted, suspended, or discontinued by Parlay Rewards from time to time, subject to applicable law.

Participation in Social Features is voluntary. Members are responsible for their interactions with other Members and for all content, communications, information, images, usernames, messages, or other material that they submit, post, transmit, or otherwise make available through the Social Features (“User Content”).

Community Standards: Members must use Social Features lawfully, responsibly, and respectfully. Members may not use the Social Features to post, transmit, promote, solicit, or otherwise engage in content or conduct that:

• is threatening, harassing, bullying, abusive, hateful, discriminatory, obscene, sexually explicit, defamatory, fraudulent, deceptive, or otherwise unlawful; 
• threatens, encourages, promotes, or facilitates violence, self-harm, illegal activity, or other harmful conduct; 
• infringes or violates the intellectual property, privacy, publicity, confidentiality, or other rights of another person or entity; 
• contains another person’s personal, private, confidential, or identifying information without appropriate authorization; 
• constitutes spam, unauthorized advertising, commercial solicitation, phishing, impersonation, or other deceptive or disruptive activity; 
• attempts to manipulate games, contests, leaderboards, rewards, points, Referral Activities, promotions, or other aspects of the Services; 
• contains malicious code, viruses, automated scripts, or other material intended to interfere with, damage, disrupt, or gain unauthorized access to the Services or another Member’s Account; or 
• otherwise violates these Terms, any applicable Additional Terms, or applicable law. 

Moderation and Enforcement: Parlay Rewards reserves the right, but does not undertake an obligation, to monitor, review, moderate, restrict, block, remove, preserve, or disable access to User Content or Social Features where Parlay Rewards reasonably determines that such action is appropriate to enforce these Terms, protect Members or third parties, maintain the integrity or safety of the Services, respond to complaints, comply with applicable law or legal process, or address suspected abuse or misconduct.

Parlay Rewards may warn a Member, remove User Content, restrict Social Features, suspend or terminate access to Social Features or the Services, suspend or terminate an Account, remove points or benefits where permitted under these Terms, or take other appropriate action in response to a violation of these Terms or applicable law.

Parlay Rewards does not guarantee that Social Features or User Content will be continuously monitored, reviewed, moderated, or removed and does not endorse User Content merely because it appears through the Services. Members may encounter content or communications from other Members that they consider inaccurate, inappropriate, offensive, or objectionable.

Privacy and Communications: Social Features may be public, private, or accessible to particular groups of Members depending upon the functionality provided. Members should not assume that communications made through Social Features are confidential unless Parlay Rewards expressly identifies the applicable feature as providing a particular level of privacy or confidentiality.

Members should exercise appropriate caution when communicating with other Members and should not disclose personal, financial, confidential, or other sensitive information through public or semi-public Social Features.

Reporting and Member Disputes: Members may report suspected violations, inappropriate User Content, or other concerns regarding Social Features to Parlay Rewards through the applicable reporting functionality or by contacting Parlay Rewards support.

Parlay Rewards may investigate reported conduct but does not guarantee that it will take any particular action in response to a report. Except where Parlay Rewards is required to act under applicable law, disputes arising solely between Members remain the responsibility of the Members involved.

All determinations by Parlay Rewards regarding moderation, User Content, access to Social Features, community standards, or enforcement of this section are final and binding, subject to applicable law and the Dispute Resolution provisions of these Terms.

Subscriptions

Parlay Rewards may offer eligible Members an optional paid subscription program (the “Subscription”) that provides specified benefits relating to Parlay Sports. A Subscription is not required to create an Account, participate in the standard Parlay Sports experience, earn P-Points through eligible Parlay Sports Activities, use eligible free portions of the Services, or redeem P-Points for eligible rewards.

The Subscription is a separate offering from the PlayParlay L-Point Bundle program. Benefits provided through a Subscription relate to Parlay Sports and the P-Point environment and do not provide L-Points or Games Mall gaming benefits. A Subscription is not required to purchase an eligible L-Point Bundle, and the purchase of an L-Point Bundle is not required to purchase or maintain a Subscription.

A Member’s purchase or maintenance of a Subscription may also affect the Member’s Player Type in accordance with the Player Types provisions of these Terms. Any benefits resulting from Player Type status are separate from the specific benefits provided by the Subscription itself.

Subscription Benefits: The specific benefits included with a Subscription will be described by Parlay Rewards at the time of purchase or through the applicable Subscription information made available through the Services.

Subscription benefits may include enhanced P-Point earning opportunities, reduced P-Point requirements for eligible Catalogue redemptions, additional Parlay Sports gameplay opportunities, access to eligible subscriber-exclusive contests or Activities, and other Parlay Sports benefits established by Parlay Rewards from time to time.

Unless otherwise specified in the applicable Subscription terms, Subscription benefits apply only while the Member’s Subscription remains active and the Member continues to satisfy all applicable eligibility requirements.

A Subscription may provide additional gameplay opportunities or P-Point benefits but does not affect the outcome of any Parlay Sports Pivotal Moment or predictive question or improve a Member’s ability to make a correct prediction. A Subscription does not guarantee that a Member will earn any particular number of P-Points, receive any particular reward, or achieve any particular gameplay result.

Subscription Purchase and Billing: The price, billing period, applicable taxes, and other material purchase terms for a Subscription will be disclosed to the Member before the Member completes the purchase.

Unless otherwise expressly stated at the time of purchase, a Subscription is recurring and will automatically renew at the end of each applicable billing period until cancelled. By purchasing a recurring Subscription, the Member authorizes Parlay Rewards or its applicable payment processor to charge the payment method provided by the Member for the applicable Subscription fee and taxes at the beginning of each billing period until the Subscription is cancelled.

Members are responsible for maintaining accurate and current payment information. If a Subscription payment cannot be successfully processed, Parlay Rewards may suspend, restrict, or terminate the Subscription and its associated Subscription benefits, subject to applicable law.

Subscription transactions may be processed through a web-based transaction portal or another purchase method made available by Parlay Rewards from time to time. Payment processing may be provided by third-party payment processors and may be subject to applicable third-party terms and privacy practices.

Cancellation and Refunds: A Member may cancel a Subscription at any time using the cancellation method made available by Parlay Rewards. Unless otherwise specified at the time of purchase or required by applicable law, cancellation will take effect at the end of the Member’s then-current paid billing period, and the Member may continue to receive applicable Subscription benefits until that period ends.

Subscription fees are non-refundable once charged except where a refund is expressly provided by Parlay Rewards or required by applicable law. Cancelling a Subscription does not retroactively refund fees already paid or affect transactions or benefits properly received before cancellation.

Following the effective date of cancellation or termination of a Subscription, the Member will cease to receive benefits provided by the Subscription. Cancellation or termination of a Subscription may also result in a change to the Member’s Player Type where the Member no longer satisfies the applicable Player Type requirements.

Changes to Subscription Price or Benefits: Parlay Rewards may, subject to applicable law, modify the Subscription program, including its price, billing period, benefits, eligibility requirements, or other terms.

Where a change materially affects the price or recurring billing terms of an existing Subscription, Parlay Rewards will provide any notice or obtain any consent required by applicable law before the change takes effect. Changes to Subscription benefits may take effect as described by Parlay Rewards, subject to applicable law and any commitments expressly made in connection with the applicable Subscription.

Parlay Rewards may suspend or discontinue the Subscription program, subject to applicable law. Where an existing prepaid Subscription is materially affected by discontinuation, Parlay Rewards will provide any refund, credit, continued access, or other remedy required by applicable law.

Subscription Eligibility and Administration: Subscription availability may be subject to age, jurisdiction, Account status, payment eligibility, or other requirements established by Parlay Rewards. Parlay Rewards may refuse, suspend, cancel, or restrict a Subscription where Parlay Rewards reasonably determines that the Subscription or associated Account involves fraud, unauthorized payment activity, abuse, manipulation, chargeback abuse, violation of these Terms, or other unlawful or improper activity.

All determinations by Parlay Rewards regarding Subscription eligibility, Subscription benefits, Account status, billing administration, or application of Subscription rules are final and binding, subject to applicable law and the Dispute Resolution provisions of these Terms.

Lightning (L-Point) Bundles

Parlay Rewards may offer eligible Members the opportunity to purchase L-Point Bundles (each, an “L-Point Bundle”) through PlayParlay. An L-Point Bundle is an optional purchase that provides the Member with a specified quantity of L-Points and may also include specified benefits relating to the PlayParlay Games Mall.

An L-Point Bundle is a separate offering from the Parlay Sports Subscription program. A Subscription is not required to purchase an eligible L-Point Bundle, and the purchase of an L-Point Bundle is not required to purchase or maintain a Subscription. Benefits provided through an L-Point Bundle relate to PlayParlay and the Games Mall and do not provide Parlay Sports Subscription benefits.

A Member’s purchase of an eligible L-Point Bundle may also affect the Member’s Player Type in accordance with the Player Types provisions of these Terms. Any benefits resulting from Player Type status are separate from the specific benefits provided by the L-Point Bundle itself.

L-Point Bundle Contents and Benefits: The price, quantity of L-Points, and any additional benefits included with an L-Point Bundle will be disclosed to the Member before the purchase is completed.

L-Point Bundle benefits may include Bonus Spins, Bingo Tickets, tournament or contest entry benefits, or other PlayParlay or Games Mall benefits established by Parlay Rewards from time to time. The specific contents and benefits of an L-Point Bundle may vary between Bundles, promotions, Members, jurisdictions, or purchase periods and may be subject to Additional Terms.

Purchase of an L-Point Bundle does not affect the outcome of any Games Mall game or Activity or improve a Member’s chance of achieving a successful result. An L-Point Bundle does not guarantee that a Member will earn additional L-Points, receive any particular reward, or achieve any particular gameplay result.

L-Points Received Through a Bundle: L-Points received through the purchase of an L-Point Bundle are non-monetary entertainment credits and are subject to the same L-Point rules and restrictions established elsewhere in these Terms. L-Points have no cash value, cannot be redeemed through the Parlay Rewards Catalogue, cannot be converted into P-Points or currency, and cannot be sold, transferred, or exchanged except as expressly permitted under these Terms.

L-Points received through an L-Point Bundle expire thirty (30) days after receipt. Expired L-Points are removed from the Member’s Points Account and cannot be reinstated, redeemed, transferred, or exchanged, except where Parlay Rewards determines otherwise in its sole discretion or as required by applicable law.

Purchase and Payment: The price, applicable taxes, L-Point quantity, included benefits, and other material terms of an L-Point Bundle will be disclosed to the Member before the Member completes the purchase.

By purchasing an L-Point Bundle, the Member authorizes Parlay Rewards or its applicable payment processor to charge the payment method provided by the Member for the disclosed purchase price and applicable taxes.

L-Point Bundle transactions may be processed through a web-based transaction portal or another purchase method made available by Parlay Rewards from time to time. Payment processing may be provided by third-party payment processors and may be subject to applicable third-party terms and privacy practices.

Unless expressly stated otherwise at the time of purchase, an L-Point Bundle is a one-time purchase and does not automatically renew or create a recurring payment obligation.

Refunds and Transaction Adjustments: L-Point Bundle purchases are non-refundable once completed, except where a refund is expressly provided by Parlay Rewards or required by applicable law.

Parlay Rewards may delay, decline, cancel, reverse, or adjust an L-Point Bundle transaction where Parlay Rewards reasonably determines that the transaction resulted from error, duplicate processing, unauthorized payment activity, fraud, abuse, manipulation, chargeback activity, violation of these Terms, or other unlawful or improper activity.

Where an L-Point Bundle transaction is lawfully cancelled, reversed, refunded, or charged back, Parlay Rewards may remove or reverse any L-Points or Bundle benefits associated with that transaction to the extent permitted by applicable law. If some or all of the associated L-Points or benefits have already been used, Parlay Rewards may make reasonable adjustments to the Member’s Account as permitted under these Terms and applicable law.

Availability and Administration: Parlay Rewards may establish different L-Point Bundles and may, subject to applicable law, modify their prices, L-Point quantities, benefits, eligibility requirements, availability, purchase limits, or other terms from time to time. Changes will not alter the material terms of an L-Point Bundle purchase already completed except as permitted by these Terms or applicable law.

L-Point Bundle availability may be subject to age, jurisdiction, Account status, payment eligibility, or other requirements established by Parlay Rewards. Parlay Rewards may limit the number or frequency of L-Point Bundle purchases and may refuse, suspend, or restrict access to L-Point Bundles where reasonably necessary to enforce these Terms, protect the integrity of the Services, or comply with applicable law.

All determinations by Parlay Rewards regarding L-Point Bundle eligibility, availability, benefits, transactions, Account adjustments, or application of L-Point Bundle rules are final and binding, subject to applicable law and the Dispute Resolution provisions of these Terms.

Leaderboards

Leaderboards may be offered as an optional feature of the Services. Participation in a Leaderboard is not required to use the Services or to earn P-Points or L-Points through otherwise eligible Activities.

Leaderboards may rank eligible Members based on gameplay results, points earned, participation, performance, achievements, or other criteria established by Parlay Rewards for the applicable Leaderboard. The applicable ranking criteria, eligibility requirements, duration, prizes or benefits, tie-breaking procedures, and other rules may vary between Leaderboards and may be subject to Additional Terms.

Parlay Rewards may offer P-Points, rewards, recognition, benefits, or other promotional awards in connection with a Member’s ranking or performance on an eligible Leaderboard. Placement on a Leaderboard does not guarantee receipt of any particular award or benefit, and any award may be subject to eligibility requirements, verification, applicable Leaderboard rules, or other conditions established by Parlay Rewards.

Unless expressly stated otherwise in the applicable Leaderboard rules, L-Points are not awarded solely as a result of Leaderboard ranking. Any P-Points awarded through a Leaderboard are subject to the P-Point rules and restrictions established elsewhere in these Terms.

Leaderboard Visibility: Leaderboard rankings may be visible to other Members or users of the Services. Parlay Rewards may display a Member’s username, display name, ranking, score, points, achievements, or other information reasonably necessary to operate and display the applicable Leaderboard, subject to the Parlay Rewards Privacy Policy and applicable law.

Leaderboard Administration: Parlay Rewards may establish, verify, correct, recalculate, or adjust Leaderboard rankings, scores, results, or awards where reasonably necessary to correct an error, address incomplete or inaccurate data, apply applicable tie-breaking or eligibility rules, or maintain the integrity of the Leaderboard.

Parlay Rewards may disqualify a Member from a Leaderboard, remove or adjust an affected ranking or award, restrict participation, or take any other action permitted under these Terms where Parlay Rewards reasonably determines that the Member engaged in fraud, abuse, manipulation, collusion, unauthorized activity, exploitation of the Services, violation of applicable Leaderboard rules, or breach of these Terms.

Parlay Rewards may, subject to applicable law, establish, modify, limit, suspend, replace, or discontinue a Leaderboard or its associated ranking criteria, eligibility requirements, awards, benefits, duration, or other conditions.

Members who reasonably believe that a Leaderboard ranking or award has been incorrectly recorded may contact Parlay Rewards support within sixty (60) days after the applicable Leaderboard or Activity.

All determinations by Parlay Rewards regarding Leaderboard eligibility, rankings, scoring, awards, Account adjustments, tie-breaking procedures, or application of Leaderboard rules are final and binding, subject to applicable law and the Dispute Resolution provisions of these Terms.

Contests & Contest Rules

Parlay Rewards may from time to time offer contests, competitions, promotions, challenges, giveaways, or other promotional activities (each, a “Contest”) to eligible Members. Each Contest will be subject to specific official rules, terms, eligibility requirements, entry methods, prize information, start and end dates, winner-selection procedures, and other conditions established for that Contest (collectively, the “Official Rules”).

The Official Rules form part of these Terms with respect to participation in the applicable Contest. In the event of a conflict between these Terms and the Official Rules concerning the administration or operation of a particular Contest, the Official Rules will govern to the extent of the conflict, except where prohibited by applicable law.

Eligibility: Contest eligibility may vary by Contest and may be subject to age, jurisdiction, Account status, Player Type, Subscription status, L-Point Bundle benefits, or other eligibility requirements specified in the Official Rules.

Unless otherwise permitted by the applicable Official Rules and applicable law, employees, directors, officers, agents, representatives, and members of the immediate family or household of Parlay Rewards and any participating Contest sponsor, administrator, promotional agency, or supplier involved in the administration of the applicable Contest may be ineligible to participate.

Parlay Rewards may verify the identity, age, location, Account status, eligibility, or compliance of any entrant or potential winner before accepting an entry or awarding a prize.

Entry: The method of entry for each Contest will be described in the applicable Official Rules. A Contest may permit eligible Members to enter through qualifying Activities, promotional entry methods, P-Points, L-Points, benefits provided through an eligible L-Point Bundle, or other methods expressly specified in the Official Rules and permitted by applicable law.

Where P-Points or L-Points are required for a Contest entry, the applicable number of points will be disclosed before the Member confirms the entry. Points properly used to obtain an eligible Contest entry are non-refundable once the entry has been submitted, except where Parlay Rewards determines otherwise or as required by applicable law.

The use of P-Points, L-Points, or an L-Point Bundle benefit to enter a Contest does not give a Member any advantage in the determination of a winning entry except to the extent that the applicable Official Rules expressly permit multiple eligible entries. All entries will otherwise be administered and evaluated or selected in accordance with the Official Rules.

No purchase will be required to enter a Contest where applicable law or the Official Rules require a no-purchase method of entry. Where a no-purchase method of entry is required or offered, the applicable method and conditions will be described in the Official Rules.

Winner Selection and Prizes: The method used to determine or select a potential winner will be specified in the Official Rules and may vary depending upon the nature of the Contest. Depending upon the applicable Contest and jurisdiction, winner determination may involve skill, performance, ranking, achievement, a random selection from eligible entries, or another method permitted by applicable law and described in the Official Rules.

The number, description, approximate retail value, availability, and any restrictions applicable to prizes will be specified in the Official Rules. Contest prizes may include merchandise, collectibles, tickets, experiences, access opportunities, promotional items, or other prizes made available by Parlay Rewards or participating partners. Unless otherwise stated in the Official Rules, prizes are non-transferable, must be accepted as awarded, and cannot be substituted or exchanged by the winner.

Parlay Rewards may substitute a prize with another prize of equal or greater value where the advertised prize becomes unavailable or substitution is otherwise reasonably necessary, subject to applicable law and the Official Rules.

A potential winner may be required to verify eligibility, correctly answer a skill-testing question where applicable, complete and return a declaration, release, or other documentation, and satisfy any other requirements specified in the Official Rules before being declared a winner and receiving a prize.

If a potential winner cannot be contacted, does not respond within the required period, fails to satisfy applicable eligibility or verification requirements, fails to correctly answer any required skill-testing question, fails to provide required documentation, or otherwise fails to comply with the Official Rules, the potential winner may be disqualified and another potential winner may be selected in accordance with the Official Rules.

Contest Integrity and Administration: Parlay Rewards may reject or cancel an entry, disqualify a Member, withhold or revoke a prize, or take any other action permitted under these Terms or the Official Rules where Parlay Rewards reasonably determines that an entrant has engaged in fraud, abuse, manipulation, collusion, automated or unauthorized entry methods, Account duplication, misrepresentation, interference with Contest administration, or any other conduct that compromises or attempts to compromise the integrity or fairness of the Contest.

Subject to applicable law, Parlay Rewards may modify, suspend, postpone, cancel, or terminate a Contest where fraud, technical failures, system errors, unauthorized intervention, circumstances beyond Parlay Rewards’ reasonable control, or other factors impair or compromise the administration, security, integrity, feasibility, or fairness of the Contest. Any resulting treatment of entries, prizes, or potential winners will be determined in accordance with the Official Rules and applicable law.

Publicity and Personal Information: Personal information collected in connection with a Contest will be handled in accordance with the Parlay Rewards Privacy Policy, the applicable Official Rules, and applicable law. Any use of a winner’s name, image, likeness, statements, or other personal information for publicity or promotional purposes will be subject to any consent or other requirements imposed by applicable law and the Official Rules.

All determinations by Parlay Rewards regarding Contest eligibility, entries, administration, winner verification, prizes, or application of the Official Rules are final and binding, subject to applicable law and the Dispute Resolution provisions of these Terms.

Rewards Catalogue & Redemption

The Parlay Rewards Catalogue (the “Catalogue”) is the rewards marketplace through which eligible Members may redeem P-Points for rewards made available by Parlay Rewards from time to time. Catalogue rewards may include gift cards, merchandise, products, services, subscriptions, memberships, tickets, passes, experiences, promotional items, partner rewards, and other eligible rewards.

Only P-Points may be redeemed through the Catalogue unless Parlay Rewards expressly provides otherwise. L-Points cannot be redeemed through the Catalogue and cannot be combined with P-Points or currency to complete a Catalogue redemption.

Reward Availability and Eligibility: Catalogue rewards are subject to availability and may be offered in limited quantities, for limited periods, or to Members satisfying specified age, jurisdictional, Player Type, Account status, or other eligibility requirements.

A Member must have a sufficient available P-Point balance to complete the applicable redemption. The number of P-Points required for a reward will be displayed before the Member confirms the redemption.

Certain Members may be eligible for reduced P-Point redemption requirements or other Catalogue benefits through an eligible Subscription, promotion, Player Type benefit, or other feature made available by Parlay Rewards. Any such benefit will be applied in accordance with its applicable terms and does not alter the underlying characteristics or permitted uses of P-Points.

Rewards may be made available on a first-come, first-served, while-supplies-last, promotional, eligibility-based, or other basis established by Parlay Rewards. Placement of a reward in the Catalogue does not guarantee its continued availability.

Redemption: When a Member confirms an eligible redemption, the applicable number of P-Points will be deducted from the Member’s Points Account.

Completed redemptions are final and P-Points used for a completed redemption are non-refundable, except where Parlay Rewards determines otherwise or as required by applicable law. Rewards may not be cancelled, returned, exchanged, resold, transferred, or converted back into P-Points except where expressly permitted by Parlay Rewards, the applicable reward provider, or applicable law.

Parlay Rewards may establish redemption limits, quantities, frequency limits, eligibility requirements, verification procedures, or other conditions for particular rewards or categories of rewards.

Reward Value and Redemption Requirements: The P-Point redemption requirement for a reward may reflect the cost or value of the reward together with applicable procurement, fulfillment, processing, distribution, shipping, transaction, administrative, or other costs associated with making the reward available.

The P-Point redemption requirement displayed to the Member before confirmation will be the applicable redemption requirement for that transaction, subject to correction of manifest errors and applicable law.

The stated retail value, estimated value, or other description of a reward, where provided, is for informational purposes and does not create a right to receive cash, currency, or any other substitute value.

Fulfillment and Delivery: Rewards may be fulfilled by Parlay Rewards or by third-party suppliers, merchants, fulfillment providers, or promotional partners. Delivery methods and timing may vary depending upon the reward and may include electronic delivery, physical shipment, account credit, ticketing, reservation, access instructions, or another fulfillment method.

Members are responsible for providing and maintaining accurate information required for reward fulfillment, including any applicable email address, mailing address, contact information, or other delivery information.

Parlay Rewards will make reasonable efforts to facilitate fulfillment of properly redeemed rewards but does not guarantee a particular delivery date unless expressly stated in the applicable reward terms.

If a reward cannot be delivered or fulfilled because information provided by the Member is inaccurate, incomplete, or outdated, or because the Member fails to claim, accept, or complete any reasonably required fulfillment steps within the applicable period, the reward may be forfeited and the associated P-Points may not be returned, subject to applicable law.

If a properly redeemed reward becomes unavailable for reasons unrelated to the Member, Parlay Rewards may, subject to applicable law, provide a replacement reward of equal or greater value, return the applicable P-Points, or provide another reasonable remedy determined by Parlay Rewards.

Third-Party Rewards: Certain Catalogue rewards may be issued, supplied, administered, or fulfilled by third parties and may be subject to additional terms, restrictions, expiration dates, usage conditions, booking requirements, availability, or other conditions established by the applicable third party. Parlay Rewards is not responsible for the acts or omissions of third-party reward providers or for a Member’s use of a third-party reward, except to the extent required by applicable law. Members are responsible for reviewing any applicable third-party terms before using a reward.

Taxes and Other Costs: Members are responsible for any taxes, duties, fees, or other charges associated with the receipt or use of a reward to the extent disclosed in connection with the reward or otherwise imposed upon the Member by applicable law. Parlay Rewards may require information reasonably necessary to satisfy applicable tax reporting or withholding obligations.

Errors, Fraud and Account Adjustments: Parlay Rewards may refuse, delay, cancel, reverse, or adjust a redemption where Parlay Rewards reasonably determines that the redemption resulted from error, incorrect points balances, fraud, abuse, manipulation, unauthorized Account activity, violation of applicable reward terms, or breach of these Terms.

Where a redemption is cancelled or reversed, Parlay Rewards may return, withhold, remove, or adjust the applicable P-Points as reasonably necessary to correct the transaction, protect the integrity of the Services, or comply with applicable law.

Members are responsible for reviewing their Points Account and redemption history and notifying Parlay Rewards within sixty (60) days after an applicable redemption if they reasonably believe that a redemption or P-Point deduction has been incorrectly recorded.

Parlay Rewards may, subject to applicable law, add, remove, replace, modify, restrict, or discontinue Catalogue rewards or reward categories and may modify the P-Point redemption requirements applicable to future redemptions.

All determinations by Parlay Rewards regarding Catalogue eligibility, reward availability, P-Point redemption requirements, redemption administration, fulfillment, Account adjustments, or application of Catalogue rules are final and binding, subject to applicable law and the Dispute Resolution provisions of these Terms.

Mobile Use

Parlay Rewards offers mobile applications to provide Members with fast and convenient access to the Services. Our mobile applications may include the ability to access the Services, upload content to the Services, receive content from the Services, and download applications or updates to your wireless device (collectively, “Mobile Features”).

By using the Mobile Features, you acknowledge and agree that your use is subject to these Terms of Use and any applicable policies, guidelines, or instructions provided within the mobile application. Parlay Rewards does not guarantee uninterrupted or error-free access to the Mobile Features and is not responsible for any device-related issues, data costs, or limitations imposed by your wireless carrier or device manufacturer.

Minimum Requirements – Devices

To access and use the Services, you must have a compatible mobile device, internet access, and software that meets the minimum system requirements established by Parlay Rewards from time to time. The Services may not be available on all devices, operating systems, or versions.

Parlay Rewards does not guarantee that the Services will function on any particular device or operating system, and functionality may be limited, interrupted, or unavailable due to device compatibility, system updates, or technical limitations. Parlay Rewards reserves the right to modify, update, or discontinue support for any device, operating system, or version at any time, without notice or liability.

It is your responsibility to ensure that your device meets the applicable minimum requirements and remains compatible with the Services.

User Content

General: Certain features of the Services may allow Members to post content, including messages, feedback, reviews, photos, images, text, data, and other materials (collectively, “User Content”), including content posted within Games Mall, Parlay Sports, and related Program activities. Members may publish User Content on the Services for access by other Members, subject to these Terms.

Limited License Grant to Parlay Rewards: You retain any ownership rights you may have in your User Content. By submitting, posting, transmitting, or otherwise making User Content available through the Services, you grant Parlay Rewards a worldwide, non-exclusive, royalty-free, transferable and sublicensable licence to host, store, reproduce, use, modify, adapt, publish, display, distribute, and otherwise process such User Content to the extent reasonably necessary to operate, provide, administer, moderate, protect, promote, and improve the Services and the Parlay Rewards Program, subject to applicable law and the Parlay Rewards Privacy Policy.

Representations and Warranties: You are solely responsible for the User Content you post and the consequences of posting it. By posting or publishing User Content, you represent and warrant that:

• You are the creator of the User Content, or you have all necessary rights, licenses, consents, and permissions to post it and to grant Parlay Rewards the rights described in this Section.
• Your User Content, and its use as contemplated herein, does not and will not: infringe or violate any third-party intellectual property or proprietary rights, including copyrights, trademarks, patents, trade secrets, moral rights, privacy, or publicity rights; defame, slander, libel, or violate the rights of any individual; contain viruses, malware, spyware, or other harmful code; violate any applicable law, regulation, or these Terms.
• Your User Content is appropriate for a social gaming environment and does not promote illegal, offensive, or unsafe behavior.

Disclaimer and Removal: Parlay Rewards is under no obligation to monitor, edit, or control User Content. To the maximum extent permitted by applicable law, Parlay Rewards is not responsible or liable for User Content posted or otherwise made available by Members through the Services. You acknowledge that you may be exposed to User Content that is inaccurate, offensive, indecent, or objectionable.

If Parlay Rewards receives notice or becomes aware that User Content may violate these Terms, it may investigate and remove the User Content at its sole discretion, at any time and without notice. Parlay Rewards does not permit copyright-infringing or illegal content and reserves the right to remove any content that violates these Terms.

Ownership

The Services and all text, logos, images, marks, button icons, graphics, video, audio, and other content contained in or communicated through the Services, including without limitation the Parlay Rewards, PlayParlay & Parlay Sports name, icons and logos (collectively, the “Content”), are the exclusive property of Parlay Rewards, its affiliates, or its third-party providers and licensors (collectively, the “Third Parties”) and are protected by Canadian and international copyright, trademark, and other intellectual property laws.

You may not reproduce, republish, distribute, display, sell, transfer, modify, or create derivative works of any Content, in whole or in part, without the express prior written consent of Parlay Rewards or the applicable Third Party.

All software used in connection with the Services is the property of Parlay Rewards or its software suppliers and is protected under Canadian and international intellectual property laws. The compilation, arrangement, and organization of all Content on the Services is the exclusive property of Parlay Rewards and is likewise protected by copyright and other intellectual property laws.

Trademarks

Parlay Rewards and all related trademarks, service marks, and design marks displayed in connection with the Services (collectively, the “Trademarks”) are registered and common law trademarks of Parlay Rewards. All other trademarks, service marks, and design marks displayed in connection with the Services are the property of their respective owners and may be used under license.

Nothing in the Services grants, by implication, estoppel, or otherwise, any right or license to use any Trademarks, including the Trademarks, without the express prior written consent of Parlay Rewards or the applicable third-party owner.

Consent to Electronic Communications and SMS

By creating an Account or using the Services, you agree that Parlay Rewards may provide you with electronic communications relating to the operation and administration of the Services, the Parlay Rewards Program, your Account, transactions, points, rewards, security, customer support, changes to these Terms or other policies, and other service-related matters. Such communications may be provided by email, push notification, in-app message, SMS, or other electronic means made available by Parlay Rewards, as appropriate and subject to applicable law.

You agree that notices, agreements, disclosures, confirmations, and other communications provided to you electronically satisfy any legal requirement that such communications be provided in writing, to the extent permitted by applicable law. You are responsible for maintaining accurate and current contact information associated with your Account.

Promotional and Marketing Communications: Parlay Rewards may send you promotional or marketing communications, including information regarding Offers, rewards, contests, promotions, surveys, Events, products, services, or other opportunities, where you have provided any consent required by applicable law or where such communications are otherwise permitted by applicable law.

Where required, consent to receive promotional or marketing communications will be requested separately or through an appropriate consent mechanism. Creating an Account or using the Services does not, by itself, constitute consent to receive promotional electronic communications where separate consent is required by applicable law.

You may withdraw your consent to receive promotional or marketing electronic communications at any time by using the unsubscribe mechanism provided in the applicable communication, adjusting available communication preferences, or using another withdrawal method made available by Parlay Rewards. Withdrawal of marketing consent will not prevent Parlay Rewards from sending service, security, transactional, Account, legal, or other non-promotional communications where such communications are permitted or required by applicable law.

SMS Communications: Where Parlay Rewards offers SMS communications, you may be required to provide separate consent before receiving promotional SMS messages. Message and data rates imposed by your mobile carrier may apply. The availability and delivery of SMS communications may depend upon your mobile carrier, device, network availability, and other factors outside Parlay Rewards’ control.

You may withdraw consent to receive promotional SMS communications using the method identified in the applicable message or through another method made available by Parlay Rewards, subject to applicable law.

Communications Compliance: Parlay Rewards will manage electronic communications and applicable consent requirements in accordance with applicable privacy, electronic communications, and anti-spam laws. Personal information used in connection with electronic communications will be handled in accordance with the Parlay Rewards Privacy Policy.

Restrictions on Use; Prohibited Activity

You shall not use the Services in any manner except as expressly permitted by these Terms of Use. Without limiting the generality of the foregoing, you shall not, and shall not permit any person to, directly or indirectly, do any of the following: (i) Sell, reproduce, distribute, modify, or attempt to modify the Services, any Content, or any part thereof in any way; (ii) Use the Services (or any part thereof) for any public, commercial, or promotional purpose, including without limitation using any Content on any other website, mobile application, or social media platform; (iii) Reverse engineer, decompile, disassemble, or otherwise attempt to access the source code, underlying algorithms, or proprietary features of the Services; (iv) Modify, translate, create derivative works, or otherwise attempt to replicate any portion of the Services or any Content; (v) Access or use the Services to build a competitive product or Service, copy features, functions, graphics, or design elements of the Services, or otherwise compete with Parlay Rewards; (vi) Access or use the Services for benchmarking, monitoring, or testing its performance, availability, or functionality without Parlay Rewards’ express written consent; (vii) Circumvent, disable, or attempt to circumvent or disable any security technology, access control, or software component of the Services; (viii) Knowingly access or attempt to access any data, Content, or functionality not intended for your use; (ix) Probe, scan, or test the vulnerability of the Services or breach security or authentication measures without proper authorization; (x) Use the Services to transmit, disseminate, or make available any Content that is unlawful, threatening, abusive, defamatory, obscene, pornographic, harassing, discriminatory, or otherwise objectionable; (xi) Impersonate Parlay Rewards, its employees, or any other Member, including through use of email addresses, account information, or other identifying data; (xii) Use the username, password, or account of any other Member; (xiii) Interfere with or disrupt the integrity, security, or operation of the Services; (xiv) Engage in any activity that violates applicable laws, regulations, or industry standards.

Parlay Rewards reserves the right, in its sole discretion, to investigate any suspected violations of this Section and to take any actions it deems necessary to protect the integrity of the Services, including suspension or termination of accounts, withholding or rescinding P-Points or L-Points, and legal action.

Fraud, Abuse, and Anti-Fraud Compliance

You agree to use the Services honestly, ethically, and in compliance with these Terms. Parlay Rewards may, at its sole discretion, investigate any Activity that it reasonably believes constitutes fraud, abuse, manipulation, or circumvention of controls within the Program or the Services. Examples of prohibited behavior include, without limitation: (i) creating multiple Accounts to gain an unfair advantage; (ii) making false or misleading referrals or claims; (iii) manipulating the accrual, redemption, or use of P-Points or L-Points; (iv) misrepresenting any personal or registration information; (v) exploiting any bug, glitch, or loophole in the Services; (vi) engaging in collusion, artificial gameplay, automated gameplay, or any Activity designed to improperly earn rewards.

Parlay Rewards may take any corrective action it deems necessary, including, without limitation: (i) delaying, withholding, or rescinding P-Points, L-Points, bonuses, spins, or other rewards; (ii) suspending or terminating Member Accounts; (iii) pursuing legal remedies or reporting violations to relevant authorities.

All investigations and determinations regarding fraudulent or abusive Activity will be made by Parlay Rewards in accordance with these Terms. All determinations by Parlay Rewards regarding fraud, abuse, manipulation, unauthorized activity, Account adjustments, corrective actions, or violations of these Terms are final and binding, subject to applicable law and the Dispute Resolution provisions of these Terms.

Links/Software

The Services may contain links to websites, applications, or content owned or operated by third parties that are not affiliated with or controlled by Parlay Rewards (“Third-Party Sites”). These links are provided solely as a convenience and do not constitute an endorsement, investigation, verification, or approval by Parlay Rewards of the content, security, privacy practices, or accuracy of any Third-Party Sites.

Parlay Rewards does not control, monitor, or guarantee the availability, content, or security of any Third-Party Sites. Accessing or using these links is done entirely at your own risk. When you leave the Services to visit a Third-Party Site, Parlay Rewards’ Terms of Use, Privacy Policy, and other policies no longer govern your actions on that site. You should review the applicable terms, policies, and practices, including data collection or privacy practices, of any Third-Party Site before engaging in any transactions or interactions.

You may link to third-party websites at your own risk, and Parlay Rewards is not responsible or liable for any damages or losses resulting from such linking. Except for websites and applications owned and operated by Parlay Rewards, the inclusion of links does not imply sponsorship, endorsement, or approval by Parlay Rewards.

Advertisements and Promotions

Parlay Rewards may display advertisements or offer promotions from third parties (“Third-Party Promotions”) on or through the Services. Your participation in any Third-Party Promotion, and any terms, conditions, warranties, or representations associated with such participation, are solely between you and the third party.

Parlay Rewards makes no representations or warranties regarding Third-Party Promotions and is not responsible or liable for any loss, damage, or claim arising from your participation in, or reliance on, such Third-Party Promotions or the presence of third-party advertising on the Services.

Third-Party Compliance

You acknowledge that certain features of the Services may involve interactions with third-party websites, applications, or services. Your use of any third-party content, software, or services is subject to the terms, conditions, and privacy policies of those third parties. Parlay Rewards is not responsible for the conduct, actions, or compliance of any third-party and is not liable for any loss or damages resulting from such interactions.

You agree to comply with all applicable third-party rules and laws when using or accessing their services through the Services. Parlay Rewards reserves the right, in its sole discretion, to limit, suspend, or remove access to any third-party integrations at any time. Parlay Rewards does not endorse, guarantee, or assume liability for the performance, security, or content of any third-party service.

Modification of the Terms of Use

Parlay Rewards may, at its sole discretion and for any reason, modify, supplement, or amend these Terms of Use at any time by posting the revised Terms on the Website or within the Application. Unless otherwise required by applicable law, any changes will be effective immediately upon posting.

Your continued use of the Services after the posting of revised Terms constitutes your acceptance of the changes. If you do not agree with any revised Terms, you may discontinue use of the Services and terminate your Account, subject to any rights or remedies available under applicable law.

The treatment of any P-Points, L-Points, rewards, benefits, Subscriptions, L-Point Bundles, or other Account-related matters following Account closure will be governed by the applicable provisions of these Terms and applicable law.

Term and Termination

The term of these Terms of Use commences upon your acceptance and continues until terminated in accordance with these Terms.

Parlay Rewards may, subject to applicable law, suspend, restrict, or terminate these Terms, your Account, or any part of your access to the Services where Parlay Rewards determines that such action is appropriate, including without limitation where: (i) your Account becomes subject to closure under the Active, Inactive, and Account Closures provisions of these Terms; (ii) you have violated or acted inconsistently with these Terms or any applicable Additional Terms; (iii) you have engaged in prohibited, fraudulent, abusive, manipulative, or unlawful activity; (iv) suspension, restriction, or termination is requested or required by law enforcement, a government agency, regulatory authority, court, or other applicable legal process; (v) you request deletion or closure of your Account; (vi) Parlay Rewards discontinues, modifies, or materially changes the Services or any applicable part of them; (vii) technical, security, integrity, or operational issues reasonably require such action; or (viii) suspension, restriction, or termination is otherwise permitted under these Terms or required by applicable law.

Parlay Rewards may, subject to applicable law, discontinue providing the Services or any part of the Services at any time. Parlay Rewards may suspend, restrict, or terminate access without prior notice where reasonably necessary to address fraud, abuse, security risks, unlawful activity, violations of these Terms, legal or regulatory requirements, or other circumstances requiring immediate action.

Effect of Account Termination or Closure: Upon termination or closure of an Account, the Member’s right to access and use the Account and applicable Services will cease, except to the extent otherwise expressly provided by Parlay Rewards or required by applicable law.

The treatment of P-Points, L-Points, Virtual Items, rewards, benefits, Subscriptions, L-Point Bundles, pending redemptions, Contest entries, or other Account-related matters following suspension, termination, or Account closure will be governed by the applicable provisions of these Terms, any applicable Additional Terms, and applicable law.

Where an Account is suspended or terminated because of fraud, abuse, manipulation, unauthorized activity, unlawful conduct, or a violation of these Terms, Parlay Rewards may withhold, cancel, reverse, remove, or otherwise adjust affected P-Points, L-Points, rewards, benefits, Virtual Items, transactions, entries, or other Account activity to the extent permitted under these Terms and applicable law.

Termination or closure of an Account does not relieve the Member of any obligations or liabilities incurred before the effective date of termination or closure.

All provisions of these Terms that by their nature should survive termination or expiration, including without limitation provisions relating to intellectual property, ownership, User Content rights, points and Virtual Items, payment obligations, fraud and enforcement, disclaimers, limitations of liability, indemnification, dispute resolution, and any other provisions intended by their nature to survive, will remain in full force and effect following termination or expiration of these Terms.

Liability disclaimer – READ THE FOLLOWING CAREFULLY

Except as explicitly provided in these Terms of Use, Parlay Rewards and its affiliates, licensors, and other third parties (collectively, the “Third Parties”) make no representations or warranties of any kind, express or implied, regarding the Services, the content provided, or any other services offered in connection with the Services. All Services and content are provided “as is” and “as available” without warranty of any kind.

Without limiting the foregoing, Parlay Rewards and the Third Parties do not warrant: the accuracy, completeness, reliability, currency, or suitability of the Services, content, data, or any third-party materials accessible through the Services; that access to or use of the Services will be uninterrupted, error-free, secure, or free from technical malfunctions, including but not limited to hardware, software, or network failures, delays, or corruptions; or that the Services or content are free from viruses, malware, or other harmful components.

You assume all risk associated with your access to, use of, or reliance on the Services, including any interaction with third-party content, contests, Games Mall gameplay, or virtual items (P-Points or L-Points).

Maximum Liability

To the maximum extent permitted by law if Parlay Rewards or any Third Parties are found liable for any loss or damage arising out of or related to the Services, the aggregate liability will not exceed $100 (or equivalent in the currency of the country where the claim is made).

Parlay Rewards and Third Parties are not liable for any special, indirect, incidental, consequential, exemplary, punitive, or economic damages, including lost profits, lost savings, or loss of data, whether arising in contract, tort, strict liability, or otherwise, even if advised of the possibility of such damages. This limitation applies to all Services, including gameplay, contests, rewards, virtual currency, and access to the Parlay Rewards Catalogue.

Indemnification

You agree to indemnify, defend, and hold harmless Parlay Rewards and the Third Parties, including their officers, directors, employees, agents, consultants, and representatives, from and against any and all claims, liabilities, damages, losses, demands, costs, and expenses (including reasonable legal and professional fees) arising from or related to: (i) your use of the Services, including participation in games, contests, surveys, or rewards programs; (ii) your violation of these Terms of Use, any applicable law, or the rights of any third party; (iii) any User Content you post, upload, or distribute through the Services; or (iv) any fraudulent, abusive, or unauthorized use of your Account, P-Points, L-Points, or other virtual items.

Parlay Rewards reserves the right, at its sole discretion, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, in which case you agree to cooperate fully with Parlay Rewards in asserting any available defenses.

Accuracy of Information

You agree that all information you provide to Parlay Rewards, including registration details, profile information, survey responses, contest entries, and other submissions (collectively, “Information”), must be true, accurate, complete, and up-to-date.

You are solely responsible and liable for any consequences, losses, damages, or additional costs incurred by you, Parlay Rewards, or any third party arising from your provision of false, inaccurate, incomplete, or outdated Information.

Parlay Rewards reserves the right, at its sole discretion, to suspend, limit, or terminate your Account or access to the Services if it determines that any Information you provided is inaccurate, incomplete, or otherwise unreliable.

General Terms

Governing Laws and Jurisdiction

You consent to the exclusive jurisdiction of the courts located in the City of Toronto, Province of Ontario, Canada, for any disputes arising out of or relating to your use of the Services or these Terms of Use, unless otherwise required by applicable law. This agreement, including its performance, will be governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein. Where mandatory local laws apply, those laws will supersede these Terms to the extent required.

Currency

Unless otherwise expressly stated, all references to “dollars” or the “$” sign in these Terms or in connection with the Services refer to the applicable currency identified at the time of the relevant transaction, purchase, fee, reward, or other monetary amount.

Any applicable price, fee, tax, charge, or other monetary amount associated with a Subscription, L-Point Bundle, or other eligible purchase will be displayed to the Member before the applicable transaction is completed.

P-Points, L-Points, Trial Points, and Virtual Items are not legal tender or currency. P-Points and L-Points cannot be redeemed for cash or currency or converted into one another. P-Points may be redeemed for eligible rewards through the Parlay Rewards Catalogue or otherwise used as expressly permitted under these Terms. L-Points may be used only for eligible Activities as expressly permitted under these Terms.

Severability

If any provision of these Terms of Use is found to be invalid, illegal, or unenforceable, that provision will be enforced to the maximum extent permitted by law, and the remaining provisions will remain in full force and effect.

Headings

Headings in these Terms of Use are included for convenience only and do not affect the interpretation or enforceability of any provision.

Entire Agreement

These Terms of Use, together with all Additional Terms, Official Rules, policies, practices, and guidelines incorporated by reference, constitute the entire agreement between you and Parlay Rewards regarding your use of the Services. They supersede any prior agreements, understandings, or communications, whether written, electronic, or oral, related to the subject matter. Any modifications or amendments must be made by Parlay Rewards as set out in the Modification of Terms section above.

Termination of Account

A Member may stop using the Services at any time. A Member may also request closure or deletion of their Account using any Account deletion functionality made available through the Services or by contacting Parlay Rewards through an applicable support or Account management process.

Upon closure or deletion of an Account, the Member’s right to access and use the Account and applicable Services will cease, except to the extent otherwise expressly provided by Parlay Rewards or required by applicable law.

The treatment of any P-Points, L-Points, Virtual Items, rewards, benefits, Subscriptions, L-Point Bundles, pending redemptions, Contest entries, or other Account-related matters following Account closure or deletion will be governed by the applicable provisions of these Terms, any applicable Additional Terms, and applicable law.

Personal information associated with a closed or deleted Account will be handled in accordance with the Parlay Rewards Privacy Policy and applicable law, including any applicable retention requirements. Account closure or deletion does not relieve the Member of any obligations or liabilities incurred before the effective date of closure or deletion.

Waiver of Class Action

To the maximum extent permitted by applicable law, you agree that any dispute, claim, or controversy arising out of or relating to these Terms of Use, the Services, your Account, or your participation in the Parlay Rewards Program will be brought and resolved on an individual basis and not as part of, or on behalf of, any class, collective, representative, or other group proceeding.

To the maximum extent permitted by applicable law, you waive any right to commence, participate in, or obtain relief through any class, collective, representative, or other group proceeding against Parlay Rewards or its affiliates in connection with any such dispute, claim, or controversy.

This waiver does not apply to the extent that a class action waiver, restriction on participation in a class proceeding, or other limitation contained in this section is prohibited, unenforceable, or otherwise restricted by applicable law. Nothing in this section limits, excludes, waives, or restricts any right or remedy that cannot lawfully be limited, excluded, waived, or restricted.

Any dispute remains subject to the Dispute Resolution provisions of these Terms.

Confirmation of Agreement

BY USING THE SERVICES, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THESE TERMS OF USE, INCLUDING THE PRIVACY POLICY, ANY APPLICABLE ADDITIONAL TERMS OR OFFICIAL RULES, AND ANY OTHER POLICIES, NOTICES, OR GUIDELINES INCORPORATED INTO THESE TERMS BY REFERENCE.
